Abstract

This study examined the relationship between corporate governance mechanisms comprising financial expertise of directors, foreign directors, board size of directors, independent directors, audit committee independence and environmental disclosure of listed oil and gas companies in Nigeria. A quantitative approach was adopted, using data from seven (7) sampled oil and gas companies listed on the Nigerian Exchange Group (NGX) over a 10 year period spanning 2012 to 2021. Multiple regression analysis was employed to examine the relationship. The study showed that foreign directors and board size have positive but non-significant relationship with environmental disclosure. Financial expertise, Independent directors and audit committee independence on the other hand have positive and significant relationship with environmental disclosure. The study recommends that shareholders of oil and gas companies in Nigeria should maintain directors with financial expertise, and foreign directors on the board to promote environmental and related disclosure.
